STANDARD TERMS AND CONDITIONS OF SALE
Standard Terms and Conditions of Sale
These Standard Terms and Conditions of Sale (“T&C”) apply to all sales of products and services by Hi-Tech Cabinets & Closets Inc. (“Hi-Tech Cabinets & Closets”) within Canada. By placing an order, the client acknowledges and agrees to these T&C.
The client expressly waives reliance on its own terms and conditions. Any variation or modification to these T&C must be agreed to in writing by Hi-Tech Cabinets & Closets.
1. Payment Terms
- Unless otherwise agreed in writing, invoices are payable as follows:
Upon signing the contract – deposit/payment as specified in the order.
On the first day of delivery of materials.
Upon completion of the work outlined in the contract.
- Alternate payment timeframes must be expressly stated on the invoice or order confirmation.
- Payments are to be made in Canadian dollars, free of any set-off, withholding, or deduction.
- Interest on overdue balances will accrue at 10% per annum or the maximum rate permitted under Alberta law, whichever is lower.
- Hi-Tech Cabinets & Closets reserves the right to suspend work, delivery, or installation without notice if payment is not received as scheduled.
2. Debt Recovery
Accounts unpaid 60 days after the due date may be referred to a licensed Alberta or Canadian debt recovery agency or legal counsel.
The client will be responsible for all reasonable costs of collection, including legal fees and disbursements, in accordance with Alberta’s Civil Enforcement Act and related regulations.
3. Taxes and Withholding
All applicable federal and provincial sales taxes (GST or Alberta-specific levies, if any) are the responsibility of the client and will be added to the invoice.
The client must remit payment in full. No set-off, deduction, or withholding (including foreign tax withholdings) is permitted.
4. Delivery and Installation
Delivery dates are estimates only and subject to material availability, labour scheduling, and unforeseen conditions.
Hi-Tech Cabinets & Closets will make commercially reasonable efforts to meet timelines but shall not be liable for delays outside its control (e.g., supplier delays, strikes, force majeure, transportation issues).
Title to goods passes to the client only upon full payment of the invoice. Risk of loss or damage transfers to the client at delivery/installation.
5. Warranty and Claims
Hi-Tech Cabinets & Closets provides a limited warranty in accordance with Canadian consumer protection laws and its published warranty policy.
Any claims regarding defects or incomplete services must be made in writing within 8 days of delivery or installation to Hi-Tech Cabinets & Closets’ registered office in Alberta.
Claims made after this period will not be accepted.
6. Limitation of Liability
Hi-Tech Cabinets & Closets’ liability is limited to the repair, replacement, or refund of the goods or services supplied.
Under no circumstances will Hi-Tech Cabinets & Closets be liable for indirect, incidental, or consequential damages, except as required under Canadian federal or Alberta consumer protection legislation.
Hi-Tech Cabinets & Closets is not responsible for third-party claims made against the client.
7. Governing Law
These T&C shall be governed by the laws of Canada and the laws of the Province of Alberta, without regard to conflict of law provisions.
Any disputes shall be heard exclusively in the courts of Calgary, Alberta.
